Montréal-based Quantum eMotion (QeM) has announced a deal to acquire Victoria-based Plurilock for nearly $34 million CAD, as BetaKit first reported. The transaction, which consists of 30 percent cash and 70 percent common QeM shares, is intended to accelerate QeM's shift from developing quantum-secure technologies toward a comprehensive commercial cybersecurity business.
Plurilock provides an established revenue base and an existing cybersecurity platform with procurement channels and relationships across government and enterprise sectors. BetaKit reports that Plurilock, which began in 2016 focusing on behavioral biometrics, recently faced financial headwinds; the company reported revenue of just over $21 million for the six months ending June 30, a decrease of approximately $14 million compared to the previous year. Plurilock attributed this decline to a strategic reduction in low-margin resale activities. Earlier this year, the firm also reduced executive compensation by 30 percent and phased out its COO and CTO roles to pursue profitability. Additionally, Toronto-based ZenaTech acquired a 10 percent stake in Plurilock.
Under the proposed agreement, QeM president and CEO Francis Bellido will lead the combined entity. Ian Paterson, Plurilock's CEO, and Veera Singh, its CFO, will take on roles as senior vice-president and executive vice-president, respectively. Bellido stated that the merger intends to create a platform at the intersection of quantum security and AI-driven risk intelligence. Plurilock shareholders are scheduled to vote on the deal in November, with the companies expecting the transaction to close shortly thereafter.
