Osisko Metals to Spin Out New Brunswick Assets into Standalone Entity
The creation of Osisko Critical Minerals Corporation aims to isolate non-core exploration projects to unlock value through a dedicated vehicle.
Osisko Metals Incorporated (TSX: OM; OTCQX: OMZNF; FRANKFURT: 0B51) has announced plans to establish a new mineral exploration company called Osisko Critical Minerals Corporation (OCMC). According to reporting from the Financial Post, the move is intended to unlock value from non-core projects by transferring a portfolio of exploration properties in New Brunswick into a standalone vehicle.
John Burzynski will serve as the Chief Executive Officer of OCMC. Burzynski stated that the company intends to target the discovery of new copper deposits, specifically focusing on the potential for a significant mineralized bulk-tonnage porphyry-skarn deposit in northern New Brunswick. He noted that the region's geological setting is nearly identical to the Gaspé Copper Project, though historically these systems have not been explored in northern New Brunswick.
Under the proposed structure, Osisko Metals intends to retain a minority interest in OCMC following the completion of financing. The new entity plans to initiate an aggressive drilling and exploration program once the transaction and financing are finalized.
As reported by the Financial Post, the transaction remains subject to several conditions. These include the completion of tax and legal structuring, financial analysis, the determination of funding amounts and structure, the finalization of the management team and board of directors, and the receipt of necessary regulatory approvals.
